Chennai, April 18, 2026 — A petition has been filed in the Madras High Court alleging that Zoho Corporation founder Sridhar Vembu diverted corporate social responsibility (CSR) funds to finance candidates of the Bharatiya Janata Party (BJP) in the ongoing Tamil Nadu Assembly elections. The plea seeks a comprehensive, independent, and time-bound inquiry by multiple central agencies, including the Election Commission of India (ECI), Income Tax Department, Central Board of Direct Taxes (CBDT), and Enforcement Directorate (ED).

Advocate P. Sundara Vadivelu, from Perungudi in Chennai, filed the public interest petition. He claims that funds from Zoho Corporation’s corporate accounts were used for purposes “not directly connected with the legitimate business activities of the company.” According to the petitioner, these funds were directed toward “political persons” in the 27 Assembly constituencies where the BJP is contesting, including the reserved Vasudevanallur constituency in Tenkasi district.

The petition argues that such utilisation raises “grave concerns regarding financial propriety, compliance with statutory obligations, adherence to tax laws and corporate governance standards.” Any deviation, it states, would have “serious legal and regulatory implications.” If proven, the financial transactions could amount to a “corrupt practice” under Section 123 of the Representation of the People Act, 1951, potentially influencing the electoral process.

The advocate has also submitted a separate representation to Tamil Nadu’s Chief Electoral Officer, Archana Patnaik, urging an investigation into the matter.

Under the Companies Act, 2013, qualifying companies in India are mandated to spend at least 2% of their average net profits on CSR activities in areas such as education, healthcare, rural development, and environmental sustainability. Sridhar Vembu, a Padma Shri awardee, is a prominent tech entrepreneur who built Zoho from bootstrapped beginnings into a global player without venture capital funding. He has publicly advocated for rural India’s economic self-reliance and has been associated with initiatives promoting local manufacturing and skill development. However, he has faced scrutiny in the past over his perceived ideological leanings toward nationalist and self-reliance themes aligned with the BJP and RSS worldview, though he has denied formal political affiliations.

The petition comes amid the Tamil Nadu Assembly elections, with polling scheduled for April 23, 2026. The BJP is contesting 27 seats in the state, part of its broader push to expand its footprint in Dravidian politics-dominated Tamil Nadu. Vasudevanallur (reserved for Scheduled Castes) is one of the key constituencies mentioned, located in a region where Zoho has operational and developmental interests.

Legal and Regulatory Implications 
If the Madras High Court admits the petition, it could trigger multi-agency scrutiny. The ECI would examine potential violations of electoral laws, while the IT Department and CBDT could investigate tax treatment of the funds (CSR expenditures are tax-deductible under specific conditions but cannot be used for political purposes). The ED might look into money laundering angles if foreign or corporate funds are involved.

Corporate funding of political parties or candidates is strictly regulated in India. Direct contributions to candidates are prohibited, and even permissible donations to political parties must follow transparent channels under the Companies Act and Income Tax Act. Misuse of CSR funds for electoral purposes would constitute a serious breach.
